CapTableFix

CapTableFix is a web app (with optional mobile companion) that helps startups and SMBs detect and fix cap table and corporate record inconsistencies before they blow up a financing, acquisition, or audit. It ingests data from spreadsheets, e-signature folders, and common equity platforms, then runs rule-based checks plus AI-assisted document extraction to flag missing board consents, option grant approval gaps, mismatched share counts, stale 83(b) tracking, and signature/dated-document issues. It produces a “closing-ready” packet checklist and a remediation plan with templated resolutions and task assignments for founders, finance, and outside counsel. This is not a replacement for lawyers; it’s a pre-flight system that reduces billable cleanup hours and prevents embarrassing last-minute surprises. Expect some manual review: messy historical records are common, and the product must be explicit about confidence levels and required human sign-off.
