CapTableFix

CapTableFix is a web app (with a lightweight mobile companion) that helps early-stage startups detect and fix cap table issues before fundraising, acquisitions, or audits. Founders upload their current cap table (CSV/Excel) and key documents (option grants, SAFEs, notes, board consents). The app flags inconsistencies like missing approvals, incorrect vesting schedules, outdated 409A references, SAFE conversion edge cases, and share math errors. It then generates a prioritized “fix list” with plain-English explanations, suggested remediation steps, and exportable reports for counsel and investors. This is an AI-assisted app: AI extracts terms from documents and reconciles them against the cap table, but the product is designed to be conservative and evidence-linked (showing exactly which clause supports each flag). It won’t replace lawyers; it reduces expensive back-and-forth and prevents avoidable deal delays.
