CapTableFix

CapTableFix is a web app (with optional mobile companion) for corporate venture teams and their portfolio startups to detect, explain, and resolve cap table and financing-data issues before a follow-on round or acquisition. It ingests data from spreadsheets, Carta exports, and legal PDFs, then runs a rules-based + AI-assisted audit to flag common deal-stoppers: missing board consents, option pool math errors, SAFEs with conflicting MFN terms, unissued shares, incorrect liquidation preferences, and inconsistent round dates. The product generates a “Fix Pack” with a prioritized checklist, suggested remediation language, and a clean, investor-ready cap table snapshot. It also tracks who owns each fix (startup counsel, finance, corp dev) and maintains an audit trail for internal governance. This is not a replacement for lawyers; it’s a pre-flight system that reduces expensive surprises and accelerates approvals.
