CapTableFix

CapTableFix is a web app with optional mobile companion that helps early-stage startups detect and resolve cap table problems before fundraising or acquisition diligence. Founders upload their cap table (CSV/Excel) and key docs (option plan, SAFEs, notes). The system flags common issues: missing board approvals, inconsistent share classes, option pool math errors, SAFE conversion edge cases, and dilution surprises across scenarios. It generates a prioritized “fix list,” suggested remediation steps, and a shareable diligence-ready packet for investors and lawyers. This is not a replacement for counsel; it’s a pre-flight checklist that reduces back-and-forth and prevents embarrassing surprises. An AI layer can summarize documents, extract key terms, and explain dilution outcomes in plain English, while deterministic rules handle the math and validations. The goal is faster closes, fewer legal hours wasted, and fewer deals derailed by preventable cap table messes.
