ClauseGuard is a web app with an AI layer that plugs into procurement suites to prevent “contract leakage” during sourcing and purchasing. It ingests your approved contract templates, playbooks, and supplier MSAs, then checks new supplier quotes, SOWs, and redlines for risky deviations (payment terms, liability caps, auto-renewals, data processing, SLAs). Instead of generic legal summaries, it produces procurement-ready guidance: what to push back on, what to accept, and the exact fallback clause language your org already approved. It routes exceptions to Legal only when thresholds are breached, reducing bottlenecks and cycle time. It also tracks negotiated deltas over time to show where suppliers consistently win concessions and how much that costs. Realistically, this wins only if it integrates cleanly with existing tools (Coupa/Ariba/Ivalua) and earns trust with low false positives.
