ClauseTrace is a web app (with optional Microsoft Word add-in) that flags high-risk contract clauses and missing fallback language for small businesses and in-house teams that can’t afford full-time counsel for every agreement. Upload a DOCX/PDF or paste text, pick a contract type (NDA, MSA, SaaS, employment), and the app highlights clauses that commonly create disputes: indemnity scope, limitation of liability carve-outs, auto-renewal traps, assignment, governing law/venue, IP ownership, and termination. It suggests alternative wording and a negotiation “playbook” with plain-English explanations and risk scoring. This is an AI + traditional app: AI for clause detection and rewrite suggestions, traditional rules/templates for consistency and defensibility. It won’t replace lawyers; it reduces review time and prevents obvious mistakes, with an audit trail showing what was flagged and why.
