DealRedline

DealRedline is a web app (with optional desktop add-in) that helps M&A teams survive the contract flood during diligence. It ingests NDAs, customer/vendor agreements, leases, employment and IP docs, then extracts key clauses, flags change-of-control triggers, assignment restrictions, non-competes, MFN, termination rights, and unusual indemnities. Instead of a generic “AI summary,” it produces a deal-specific issues list mapped to your playbook (e.g., buyer-friendly vs seller-friendly positions) and generates a clean redline memo with citations to exact sections. It also tracks open questions, assigns owners, and exports a diligence schedule-ready report for counsel and bankers. Realistically, the product lives or dies on accuracy and defensibility, so it includes human-in-the-loop review, confidence scoring, and an audit trail for every extracted claim.
