It guides founders through building a due-diligence data room with an opinionated checklist (financials, contracts, IP, HR, customer concentration, security, compliance), then auto-generates a “red flag” report that highlights gaps buyers will punish in valuation. It includes a lightweight Q&A portal so buyers can ask questions without endless email threads, plus versioned document sharing, access controls, and an activity log to prove responsiveness. The AI layer helps classify uploaded documents, detect missing items (e.g., unsigned contracts, inconsistent revenue reports), and draft standardized responses to common diligence questions.
