ExitClause

ExitClause is a web app (with optional mobile companion) that helps independent consultants stay independent by stress-testing client contracts for hidden lock-in. Upload a contract or paste key terms, and the app flags non-competes, IP overreach, exclusivity, long notice periods, auto-renew traps, and payment/late-fee weaknesses. It then generates plain-English explanations, risk scores, and negotiation-ready alternative clauses tailored to common consulting scenarios (retainers, project work, staff aug). A simple “deal dashboard” tracks which terms you accepted, what you countered, and what still blocks signing. This is not a law firm replacement: it’s a practical pre-review tool that helps you avoid signing away your ability to work elsewhere or get paid on time. It also includes a lightweight clause library built from publicly available templates and user-contributed redlines.
