GovMinute is a web app (with optional mobile companion) that turns messy meeting notes into defensible, consistent board and committee minutes. It guides the corporate secretary through a structured workflow: agenda import, attendance and quorum checks, resolution capture, vote tallies, and action items with owners and deadlines. It includes clause libraries for common motions and approvals (e.g., equity grants, related-party transactions) and produces a clean, standardized PDF plus an immutable record of edits and approvals. This is a combination traditional + AI app: AI helps summarize discussions and suggest compliant phrasing, but the system forces human review and sign-off to avoid hallucination risk. The goal is not “pretty notes”—it’s reducing governance exposure by making minutes complete, consistent, and easy to retrieve during audits, diligence, or litigation.
