IPClause

IPClause is a web app (AI + traditional) that reviews contracts for intellectual property landmines in plain English. Upload an NDA, MSA, SOW, employment agreement, or publisher/platform terms, and it flags clauses that quietly transfer ownership, grant broad licenses, restrict portfolio use, or create invention-assignment traps. It produces a short risk summary, a clause-by-clause explanation, and suggested redlines aligned to common positions (founder-friendly, contractor-friendly, buyer-friendly). It also maintains a lightweight “IP posture” profile for your company (who owns what, open-source policy, contractor templates) so recommendations stay consistent across deals. This is not a replacement for a lawyer; it’s a fast triage tool that reduces back-and-forth and prevents obvious mistakes. Export to Word/Google Docs with tracked changes and a negotiation checklist.
