LOICompass is a web app with optional AI assistance that helps founders and CFOs sanity-check Letters of Intent and early deal terms before they become expensive traps. Users upload an LOI (or paste terms), then get a structured summary: purchase price mechanics, working capital targets, escrow/holdback, earnouts, exclusivity, breakup fees, reps & warranties, indemnity caps/baskets, and key closing conditions. The app flags market-outlier clauses, missing definitions, and “gotchas” that commonly surface later in diligence. It also generates a negotiation checklist and a redline-ready issue list to send to counsel, plus a timeline of critical dates (exclusivity end, diligence milestones, financing deadlines). It’s not a replacement for lawyers or bankers; it’s a fast second set of eyes that reduces founder mistakes and speeds alignment with advisors.
