MergerMinder is a web app (AI + traditional) that helps in-house legal and corporate development teams pre-screen deals and partnerships for antitrust and competition risk. Users answer a structured questionnaire (market definition, overlaps, pricing power, data access, exclusivity, MFNs, bundling, labor issues) and upload key documents (term sheets, LOIs, draft agreements). The app extracts clauses, flags common risk patterns, and produces a defensible “first-pass” risk memo with citations to the exact contract language and a checklist aligned to major regimes (US DOJ/FTC, EU, UK CMA). It also maintains a deal timeline, required filings prompts (e.g., HSR thresholds), and an audit trail showing what was reviewed and when. This is not a replacement for counsel; it’s a triage and documentation tool that reduces missed issues and accelerates outside-counsel review.
