RedFlagLOI is a web app (with optional mobile companion) that helps founders and small-business owners review Letters of Intent (LOIs) and term sheets for common traps that reduce purchase price or delay closing. Users upload an LOI PDF or paste text; the app extracts key clauses (exclusivity, earnouts, working capital, reps & warranties, non-compete, escrows, holdbacks, break fees, diligence scope) and highlights risk levels with plain-English explanations. It generates a prioritized negotiation checklist and suggested counter-language templates you can share with your lawyer. It also tracks versions and creates a “deal timeline” so you don’t miss deadlines like exclusivity windows or deliverables. This is not a replacement for legal counsel; it’s a practical pre-lawyer filter that reduces surprises and helps you walk into calls prepared, especially when you can’t afford top-tier M&A advisors early.
