RedFlagRoom is a web app (with optional desktop Outlook/Gmail add-in) that ingests a deal’s data room index, Q&A logs, and key documents to produce a continuously updated “risk register” for M&A due diligence. It flags missing artifacts (e.g., customer contracts, SOC reports, cap table support), highlights inconsistencies across docs (revenue recognition language vs. financials, change-of-control clauses vs. deal structure), and tracks open items with owners and deadlines. It’s an AI + traditional app: AI extracts clauses, entities, and obligations; deterministic rules enforce checklists by industry and deal type. The output is partner-ready: a concise red-flag memo, a diligence tracker, and an exportable issues list for the SPA/APA disclosure schedules. It does not pretend to replace lawyers or accountants; it speeds up triage, coverage, and follow-through so teams stop missing obvious landmines under time pressure.
