TermSheetIQ is a web app (with optional mobile companion) that helps founders sanity-check startup funding terms before they waste weeks with lawyers or accept a bad deal. Users upload a term sheet (PDF/DOC) and the app extracts key clauses (valuation, liquidation preference, participation, pro-rata, option pool, board control, veto rights, drag/tag, pay-to-play). It then flags founder-unfriendly terms, explains them in plain English, and benchmarks them against market norms by stage, geography, and sector. The output is a negotiation brief: suggested counter-terms, questions to ask, and a risk score that highlights control and economics traps. It also generates a clean “deal summary” to share with co-founders and advisors. This is an AI + traditional app: AI for document parsing and clause interpretation; traditional workflows for comparisons, versioning, and collaboration.
