TermSheetRx is a web app (with optional mobile companion) that helps angel investors quickly sanity-check startup term sheets and SAFE notes. Upload a PDF or paste key terms, and the app flags investor-unfriendly clauses (e.g., MFN traps, pro-rata limitations, valuation cap vs. discount mismatches, side-letter gotchas, excessive information rights, or weird liquidation preferences). It generates a plain-English summary, a risk score, and a short list of questions to send founders or counsel. This is not a replacement for a lawyer; it’s a triage tool to avoid obvious mistakes and save time on deals that don’t merit deeper diligence. It also stores a private “deal log” so angels can compare terms across opportunities and learn from historical outcomes. Realistically, it wins by being fast, opinionated, and narrowly focused on the most common early-stage documents.
